Tony Elumelu Set to Join Seplat Energy Board After $500M Heirs Energies Stake Deal

Nigeria’s energy sector is heading into a major governance shift as Tony Elumelu prepares for a board seat at Seplat Energy Plc. Shareholders are expected to vote on his appointment on Wednesday, May 20, 2026, during the company’s 13th Annual General Meeting held virtually.

The move follows a landmark $500 million transaction that saw Heirs Energies secure a 20.07% stake in Seplat. That deal positioned Heirs Energies as the largest shareholder, after acquiring the stake from Maurel & Prom. The acquisition, backed by major institutions including Afreximbank and Africa Finance Corporation, reshaped the company’s ownership structure and strengthened African control in the energy giant.

If approved, Elumelu will serve as a Non-Executive Director, focusing on strategic oversight and long-term value creation. The AGM agenda also includes approval of the 2025 audited financial statements, dividend declaration, auditor re-appointment of PricewaterhouseCoopers, and board reshuffling involving other independent directors. The meeting will also comply with Nigeria’s Business Facilitation Act, allowing virtual participation and live streaming.

This development follows a broader shift in Seplat’s shareholder base, which now includes major institutional investors such as Petrolin Group, Sustainable Capital, Professional Support, and Allan Gray Investment Management. The board structure also reflects succession planning as several directors have reached or exceeded retirement age thresholds under Nigeria’s Companies and Allied Matters Act.

The deal that triggered this boardroom change was structured with nearly $496 million in total value, supported by structured financing and performance-linked components tied to Seplat’s share performance. With Heirs Energies now holding 20.46% overall, the company enters a new phase of African-led ownership influence in both the Nigerian Exchange (Nigerian Exchange Limited) and the London Stock Exchange dual listing environment.
